Decisions adopted by the Financial Supervisory Authority Board - 23.04.2019

Bucharest, 23^rd of April 2019 – At today's meeting, the Board of Financial Supervisory Authority (ASF) approved measures regarding the operating framework of supervised non-bank financial markets - insurance, capital market and private pensions, including:

A)  Regulation

The Norm for amending point 18 of the Annex to the Norm of the Financial Supervisory Authority no. 7/2019 regarding the conclusion of the financial year 2018 for the insurance entities (the Norm will be submitted for publication to the Official Gazette of Romania);

The Application of the Guidelines on STS (Simple, Transparent and Standardized Securitization) Criteria for securing ABCP (issues program /short-term asset-backed securities transaction) (EBA / GL / 2018/08) and the Guidelines on STS for non-ABCP securitization (EBA / GL / 2018/09);

The Norm for amending and completing the Norm of the Financial Supervisory Authority no. 24/2015 on reporting obligations and transparency in the privately managed pension scheme (the Norm will be submitted for publication to the Official Gazette of Romania);

The Norm for amending and completing the Norm of the Financial Supervisory Authority no. 25/2015 on reporting and transparency Requirements in the Voluntary Pension Scheme (the Norm will be submitted for publication to the Official Gazette of Romania).

B)  Supervision

The results of the periodic control carried out at Eurolife ERB Asigurări Generale S.A .;

The results of the periodical control carried out at Eurolife ERB Asigurări de Viaţă S.A .;

The results of the periodic control conducted by German Romanian Assurance S.A.

C)  Authorization

Appointment of Mr. Harald Josef Londer for a new mandate as a member of the Supervisory Board of the Romanian Insurance Company - Asirom Vienna Insurance Group S.A .;

Appointment of Mr. Olivier Louis Georges Pequeux as a member and Chairman of the Board of Directors of Groupama Asigurări S.A .;

Appointment of Mr. Wolfgang Hajek as a member of the Board of Directors of Asigurarea Românească - Asirom Vienna Insurance Group S.A.;

Appointment of Mrs. Bîciu Mihaela Ioana as Director at SSIF Tradeville S.A .;

Appointment of Mr. Frank Michael Beitz as a member of the Supervisory Board of BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;

Amendment of the Constitutive Act of the Brokasig de Asigurare S.R.L. - the appointment of Mrs. Iordache Senorica as the Manager of the company;

Amendment of the Constitutive Act of April Broker de Asigurare Reasigurare S.R.L. - assignment of shares, sole associate, appointment of Mrs. Ionescu Tatiana as the administrator of the company for a new mandate;

Amendment of the Constitutive Act of of Asig Management-Broker de Asigurări S.R.L - assignment of shares, appointment of Mr. Fuicu Alexandru as Deputy General Manager of the company;

The base booklet for the Structured Products Issue Scheme of SSIF BRK Financial Group S.A. Cluj-Napoca;

Withdrawal from trading and removal from the ASF registration of shares issued by Generalcom S.A. Bucharest;

Amendment of the Organization and Operation Regulation of Metropolitan Life Management Company of a Private Administered Pension Fund S.A .;

Amendment of the Booklet of the Private Pension Scheme for the Private Administered Pension Fund administered by NN Pensions Management Company of a Private Administered Pension Fund S.A .;

Amendment the Management Contract for the Private Administered Pension Fund administered by NN Pensions Management Company of a Private Administered Pension Fund S.A .;

Amendment to the Investment Policy Statement for NN Activ Voluntary pension Fund managed by NN Asigurări de Viaţă S.A .;

Amendment to the Investment Policy Statement for the NN Optim Voluntary pension Fund managed by NN Asigurări de Viaţă S.A.
